Governance

The directors recognise the importance of sound corporate governance commensurate with the size
and nature of the group and the interests of its shareholders and have adopted the QCA Code.

The Board comprises five Non-Executive Directors (including the Chairman) and two Executive Directors, reflecting a blend of different experiences and backgrounds. Two Non-Executive Directors (being Sara Minchin and Craig Moulton) are regarded as independent within the meaning of the UK Corporate Governance Code and free from any relationship that could materially interfere with the exercise of their independent judgement.

The Board holds regular board meetings, and the Directors are responsible for formulating, reviewing and approving the company’s strategy, budget and major items of capital expenditure.

The Directors have established an audit committee and a remuneration committee with formally delegated rules and responsibilities. In view of the size of the Company, the Board as a whole carries out the duties that would sometimes be delegated to a Nominations Committee.

The Audit Committee also considers, manages and reports on the risks associated with the company as well as ensuring the company’s compliance with the AIM Rules for Companies and MAR concerning disclosure of inside information.
